Terms and Conditions
1. Provider information

The company is established in Bulgaria and offers engineering services in Romania, subject to the mandatory requirements applicable to the particular service and project.
2. Scope and acceptance
These Terms govern access to and use of the Site. By using it, you agree to comply with these Terms. If you do not agree, you should stop using the Site.
The Privacy Policy and Cookie Policy provide legally separate information about personal data and cookies. Consent to optional data processing is not inferred from acceptance of these Terms.
These Terms do not replace a signed quotation, services agreement, order, project brief or other contract. If a separate agreement is concluded, it governs the professional services and prevails over these Terms in the event of inconsistency.
3. Purpose of the Site
The Site presents E-sFlows, its experience and its engineering services, and allows visitors to request information or start a professional discussion. Site content is general information. It is not a project design, technical approval, safety instruction, regulatory opinion or professional recommendation for a specific site or set of facts.
No contract is concluded merely because a visitor reads the Site, sends a form, sends an email or receives an automated acknowledgement. A binding service relationship arises only when the parties agree the essential terms in a document or other form recognised by applicable law and any required authority or approval is in place.
4. Enquiries, proposals and contract formation
The information provided in an enquiry must be accurate, relevant and submitted by a person authorised to act for the identified organisation or project. We may ask for clarifications and may decline a request where there is a conflict, lack of capacity, legal restriction, professional concern or no agreement on scope and terms.
Unless expressly stated otherwise:
- a proposal is valid only for the period stated in it;
- estimates depend on the information and assumptions identified in the proposal;
- changes in scope, site conditions, law, approvals, third-party information or client instructions may require revised time and fees;
- the contract is formed only as stated in the accepted proposal or separate agreement;
- no person may rely on preliminary discussions as a final deliverable or approval.
5. Professional engineering services
Engineering services are performed only within the scope, responsibilities, deliverables, timetable, fees, dependencies and standard of care agreed for the project. The client remains responsible for timely instructions, access, complete and accurate information, decisions, approvals and the appointment of other participants not included in our scope.
Services connected with a Romanian project are subject to mandatory Romanian planning, construction, safety, authorisation and professional rules, while the provider remains established under Bulgarian law. The specific contract identifies the applicable professional roles, legally required signatures, verifications, authorisations and cooperation with local specialists or authorities.
We do not guarantee an administrative approval, financing decision, tender outcome, construction price, third-party performance or a result outside our agreed control. Any performance obligation and remedy must be read in the context of the agreed scope and applicable mandatory law.
6. User obligations and prohibited use
You must use the Site lawfully and in a way that does not infringe the rights of E-sFlows or another person. You must not:
- submit false, unlawful, infringing, defamatory or misleading material;
- impersonate another person or misrepresent your authority;
- attempt unauthorised access, interfere with the Site or introduce harmful material;
- harvest personal data, send unsolicited commercial messages or use the Site for fraud;
- copy, extract or exploit substantial Site content beyond what copyright law permits;
- use Site content as a substitute for project-specific professional advice.
We may restrict access or remove material where reasonably necessary to protect legal rights, comply with law or preserve the proper use of the Site.
7. Intellectual property
Unless otherwise stated, the Site and its text, visual identity, graphics, photographs, layouts, project descriptions and other original content are owned by or lawfully licensed to S Flows Engineering LTD and are protected by intellectual-property law.
You may view and make a limited copy for personal or internal evaluation of our services. You may not publish, modify, sell, license, create a misleading association, remove notices or use the content commercially without prior written permission or another legal basis.
Project materials, drawings, calculations and deliverables are governed exclusively by the relevant project agreement and applicable law. Their presence or description on the Site does not transfer intellectual-property rights or grant a licence for construction or reuse.
Third-party names, marks and materials remain the property of their respective owners.
8. Material and communications submitted by users
If you send an enquiry, document, comment or other material, you confirm that you are entitled to do so and that its use for the requested purpose does not infringe another person's rights or confidentiality obligations.
You grant us only the permission reasonably necessary to read, store, reproduce and share the material for responding to the request, assessing or performing a service, complying with law and protecting legal rights. This does not give us a general right to publish confidential project material or use it for marketing.
Do not send highly confidential, security-sensitive or special-category personal data through a general Site form unless we have agreed an appropriate method and purpose. A confidentiality obligation arises only from applicable law, the circumstances of a professional relationship or a separate agreement; the mere availability of a contact form does not create a non-disclosure agreement.
9. Privacy and cookies
Personal-data processing is described in the Privacy Policy. The legal rules for cookies and similar technologies are described in the Cookie Policy. These notices form part of the information made available to users but do not turn optional consent into a condition of using the essential Site.
10. Third-party websites and resources
The Site may link to independent websites, authorities, professional resources or social platforms. A link is provided for convenience and does not mean that we control, endorse or assume responsibility for the third party. The third party's own terms and privacy information apply after you choose to access it.
11. Accuracy and changes to Site content
We use reasonable care in preparing Site content but cannot promise that general information is complete, current or suitable for every project. Laws, standards, site conditions, authority requirements and project data change. You should obtain project-specific advice and verify important information before acting.
We may correct, update, reorganise or remove Site content at any time. An update does not amend a separate contract unless that contract expressly provides otherwise.
12. Availability
We aim to keep the Site reasonably available but do not guarantee uninterrupted or error-free access. We may suspend or limit the Site for maintenance, legal compliance, security, supplier interruption or circumstances outside our reasonable control. Where reasonably possible, material planned restrictions will be limited in duration.
This clause concerns the public Site only. Availability, response and continuity obligations for a professional service exist only if stated in the relevant contract.
13. Liability for use of the Site
To the fullest extent permitted by law, we are not liable for loss caused solely by reliance on general Site information as if it were project-specific advice, by an independent third-party website, or by misuse of the Site contrary to these Terms.
For business users, and only to the extent permitted by mandatory law, we exclude liability for indirect or consequential loss, loss of profit, opportunity, anticipated saving or business interruption arising from use of the public Site. Any liability for paid professional services is governed by the separate agreement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, death or personal injury caused by negligence where applicable, or mandatory consumer and professional liability.
14. Consumers
A "consumer" is an individual acting mainly outside a trade, business, craft or profession. The Site is primarily intended to present professional engineering services and does not itself provide an online payment or ordering mechanism or automatically conclude a paid contract.
If we enter into a contract with a consumer at a distance or away from business premises, the consumer receives the mandatory pre-contract information, price, performance terms, complaint route and information about any right of withdrawal in the applicable contract documents. Where a 14-day withdrawal right applies, its exercise and any request to begin performance early are handled under mandatory law. Nothing in these Terms removes a consumer's non-waivable rights under EU law or the law of the consumer's habitual residence.
15. Complaints and alternative resolution
Questions and complaints should be sent to contact@e-sflows.com, with sufficient information to identify the matter. We will seek to acknowledge and examine a complaint within a reasonable period, taking account of its complexity and any mandatory deadline.
Consumers may also use the competent consumer-protection authority or an approved alternative-dispute-resolution body where the law provides this. In Bulgaria, information is available from the Commission for Consumer Protection at www.kzp.bg. In Romania, information is available from the National Authority for Consumer Protection (ANPC) at www.anpc.ro. The former EU Online Dispute Resolution platform was discontinued by law in 2025 and is therefore not presented as an available complaint channel.
16. Governing law and courts
These Terms and non-contractual matters arising from use of the Site are governed by Bulgarian law, together with directly applicable EU law. This choice does not displace:
- mandatory Romanian law applicable to engineering services or activities performed in Romania;
- mandatory rules of another country that apply irrespective of the chosen law; or
- the protection that a consumer receives from non-derogable law in the country of habitual residence.
Subject to mandatory jurisdiction rules and any valid dispute clause in a separate professional agreement, the competent Bulgarian courts have jurisdiction. A consumer may use the courts available under mandatory EU and national jurisdiction rules.
17. Force majeure
Neither party is responsible under these Site Terms for delay caused by an event beyond its reasonable control, to the extent the event prevents performance and the affected party takes reasonable steps to limit the effect. This clause does not excuse payment already due, replace mandatory law or alter a project contract's specific force-majeure provisions.
18. Changes to these Terms
We may update these Terms for legal, operational or Site-related reasons. The new version applies from the effective date shown at the top and does not retroactively change an existing professional contract. Continued use after the effective date means that the Site is used under the updated Terms; a material change requiring express agreement will be handled separately.
19. Severability, waiver and assignment
If a provision is invalid or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions continue to apply. A delay in enforcing a right is not a waiver. You may not transfer rights under these Site Terms where that would prejudice us or another person; any transfer of a professional contract is governed by that contract and applicable law.
20. Language and contact
The English and Romanian versions are intended to communicate equivalent rules. If an inconsistency cannot be resolved by interpretation, the mandatory law applicable to the user and service prevails; for other matters, the English version prevails unless a separate contract states otherwise.
